PRINCIPLE

The owners of an asset (a company or a business unit within a company or group) wish to sell it to third parties, typically in a competitive process. SORGEM is engaged to work on the accounting and financial data of the asset, particularly in the context of carving out assets and liabilities.

METHOD

The due diligence is less comprehensive than for a Vendor Due Diligence (VDD), often due to time constraints or specific circumstances (carve-out, distressed company, etc.).

General and analytical accounting data are presented and structured to be understandable to an investor. General activity trends and cash flow generation (or consumption) are commented on. Individual items or changes in items are not analyzed in detail.

The firm works closely with the target group’s management.

RESULTS

The key aspects of the planned transaction are outlined in a short timeframe. Stakeholders receive figures they can work with and, if necessary, explore further.

MISSION

The deliverable is an Excel file (datapack) and, where applicable, a report in standard format. The draft datapack and/or report are intended for the client and potential buyers. By design, the work performed does not present the same reliance as for a VDD.
